TERMS AND CONDITIONS

These terms and conditions apply to purchases in the e-shop https://greeziis.com,

operated by the company GREEZIIS s.r.o., ID No. 171 26 649, with its registered office at no. 135, 530 02 Starý Mateřov, registered in the Commercial Register maintained by the Regional Court in Hradec Králové, file no. C 49529, e-mail info@greeziis.com, tel. 775 362 431 (hereinafter referred to as “GREEZIIS” or the “Seller”).

These terms and conditions regulate the mutual rights and obligations of the contractual parties arising in connection with or on the basis of a purchase agreement (hereinafter referred to as the “Purchase Agreement”) concluded between GREEZIIS as the Seller and another natural or legal person as the Buyer (hereinafter referred to as the “Buyer”) through the Seller's online store. The online store is operated by the Company on the website located at the internet address https://greeziis.com, via the website interface (hereinafter referred to as the “E-shop”).

I.               INTRODUCTION

1.     These terms and conditions do not apply to cases where a person who intends to purchase goods from the Seller acts in the course of their business activities when ordering the goods.

2.     Provisions deviating from these terms and conditions may be agreed upon in the Purchase Agreement. Deviating provisions in the Purchase Agreement shall take precedence over the provisions of these terms and conditions.

3.     The provisions of the terms and conditions are an integral part of the Purchase Agreement. The Purchase Agreement
and the terms and conditions are drawn up in the Czech language. The Purchase Agreement can be concluded in the Czech language. By sending an order, the Buyer confirms by their agreement to the terms and conditions that they have read them.

4.     The Seller may change or supplement the wording of the terms and conditions; the version effective at the time of the conclusion of the Purchase Agreement shall always be binding between the contractual parties.

II.             REGISTRATION, USER ACCOUNT

1.     Orders can be placed exclusively through the E-shop, either after logging into a previously created Buyer's user account or without logging in. Every Buyer has the option, but not the obligation, to register and create their own user account. The Buyer undertakes to provide complete
and truthful information when registering and/or ordering goods. The Buyer is obliged to update the data in the user account upon any change. The data provided by the Buyer in the user account and/or when ordering goods is considered correct by the Seller for the purposes of concluding the Purchase Agreement and invoicing.

2.     Access to the user account is secured by a username and password. The Buyer is obliged to maintain confidentiality regarding the information necessary to access their user account and acknowledges that the Seller is not liable for any breach of this obligation by the Buyer.

3.     The Buyer is not entitled to allow third parties to use the user account.

4.     The Seller may cancel the user account, especially in the event that the Buyer has not used their user account for more than 2 years, or in the event that the Buyer breaches their obligations arising from the Purchase Agreement, of which these terms and conditions are an integral part.

5.     The Buyer acknowledges that the user account may not be available continuously, especially
with regard to necessary maintenance of hardware and software equipment.

III.             CONCLUSION OF THE PURCHASE AGREEMENT

1.  The web interface of the store contains only an informative list of goods offered by the Seller
for sale, including the prices of the offered goods. In this context, we exclude the application of the provision of Section 1732 (2) of Act No. 89/2012 Coll., the Civil Code. The prices of the offered goods are listed including value added tax and all related fees. The price for transport (postage) is listed separately. The offer to sell goods and the prices of these goods remain valid for as long as they are displayed in the web interface of the store. If the prices of the goods change, the prices applicable at the moment of placing the order shall be valid for the given order. This provision does not limit the Seller's possibility to conclude a Purchase Agreement under individually negotiated conditions
with the Buyer. All offers to sell goods located in the web interface of the store are non-binding and the Seller is not obliged to conclude a Purchase Agreement regarding these goods.

2.     All goods offered on the E-shop are sold directly by the Seller.

3.     Before completing an order, the Buyer is also provided with information about the costs associated with the packaging and delivery of the goods. Information about the costs associated with the packaging and delivery of goods stated in the web interface of the store applies only in cases where the goods are delivered within the territory of the Czech Republic.

4.     Individual offers are sorted according to relevant criteria chosen by the customer, such as availability or price of the searched goods, automatically based on the data selected/entered by the customer.

5.     To order goods, the Buyer shall fill out an order form in the web interface of the store. The order form contains in particular information about:

-      the ordered goods – type, quantity (the Buyer adds the ordered goods to the electronic shopping cart of the store's web interface),

-      the Buyer’s details including first name, last name, e-mail or telephone number, address,

-      the method of payment for the purchase price of the goods, information about the required delivery method for the ordered goods, or information about the possibility of personal collection of the goods at the Seller's pick-up point,

-      the method and costs associated with the delivery of the goods (hereinafter collectively referred to as the “Order”).

6.     Before sending the order, the Buyer is allowed to check and change the data they entered into the order, also with regard to the Buyer's ability to identify and correct errors arising during data entry in the order. The Buyer sends the order by clicking the “PAY” button. The data provided
in the order is considered correct by the Seller. Immediately after receiving the order, the Seller will confirm this receipt to the Buyer by e-mail to the Buyer’s e-mail address specified in the user interface or in the order (hereinafter referred to as the “Buyer’s Electronic Address”).

7.     The Seller is always entitled, depending on the nature of the order (quantity of goods, amount of the purchase price, expected transport costs), to ask the Buyer for additional confirmation of the order (e.g., in writing or by phone).

8.     The contractual relationship between the Seller and the Buyer arises upon the delivery of the order acceptance, which is sent by the Seller to the Buyer by e-mail to the Buyer’s e-mail address.

9.     The Buyer acknowledges that the Seller is not obliged to conclude a Purchase Agreement. In the event that the ordered goods are not available to the Seller and this is discovered only after the Buyer’s order is accepted, the Seller will contact the Buyer, and potentially, the Seller is entitled to conclude the Purchase Agreement only for a portion of the ordered goods. The content of the goods specified in the order confirmation is decisive for the content of the Purchase Agreement concluded between the Seller and the Buyer. The order confirmation is proof of the conclusion and content of the Purchase Agreement.

10.  The Seller is not obliged to conclude a Purchase Agreement in cases where the data stated for the goods in the catalog is clearly incorrect or if there has been a typographical error in the product catalog. Both the Seller and the Buyer are entitled to withdraw from the concluded Purchase Agreement without giving a reason until the moment the goods are dispatched.

IV.            TRANSPORT AND PAYMENT

1.    For the delivery of goods, it is possible to use the services of Zásilkovna (delivery of goods to an address or to a Z-box), or it is possible to use the option of personal collection of the ordered goods at the address Na Staré poště 2880, 530 02 Pardubice.

2.     Goods can be paid for exclusively when submitting the order via the Google Pay or Shop Pay payment gateways. The terms of use for these services can be found on the websites https://support.google.com/googlepay/answer/9039712 and https://shop.app/terms-of-service.

3.     Upon conclusion of the Purchase Agreement, the Buyer is obliged to take delivery of the ordered goods. If the Buyer breaches this obligation, they are liable for the damage caused to the Seller, including reimbursement of additional costs for returning the goods to the Seller or damage to the packaging. If the Buyer does not collect the paid goods within 30 days from the date of notification of the possibility of personal collection, the Seller is entitled to charge a storage fee of CZK 10 for each started calendar day. If the expiration date of the given product is exceeded in the meantime, the Seller is entitled to dispose of the ordered goods.

4.     The original price (typically displayed on the website as part of discount information as “Price before discount”) means the lowest price for the 30 days preceding the discount at which the Seller offered the subject goods on the E-shop. Individual price discounts and price discounts that are not included directly in the current sales price of the given goods (i.e., they are not provided automatically and universally) are not taken into account in the calculation of the original price.

5.     The costs of delivery (postage) and packaging will be added to the purchase price stated in the product catalog, and the Buyer is obliged to pay the total price calculated in this way. Delivery costs may vary depending on the chosen delivery method.

6.     If the Seller has any record of debt from previous orders, the Seller will process a further order only after the full settlement of this debt.

7.     Any discounts or discount codes provided to the Buyer cannot be added or combined
with other discount promotions, unless otherwise stated in the terms of the specific discount promotion.

8.     The order will be dispatched as soon as possible after the conclusion of the Purchase Agreement, typically within one week from the date of conclusion of the Purchase Agreement. The Seller guarantees delivery of the ordered goods no later than within 30 days from the date of conclusion of the Purchase Agreement.

9.     If the delivery method chosen by the Buyer is not suitable for delivering the order (e.g.,
due to volume or weight), the Seller will contact the Buyer and agree on a different delivery method, including the price. The carrier will deliver the order to the delivery address specified
in the order.

10.  For orders over CZK 1,000, the Seller provides free shipping. However, the free shipping offer does not apply to orders with delivery outside the Czech Republic.

11.  The Seller relies on the fact that upon receipt of the shipment, the Buyer will inspect the shipment and, if necessary, a report on damage to the shipment will be drawn up, and the Buyer undertakes to do so by placing the order. If the shipment is clearly damaged, it is recommended that the Buyer refuse to accept it.

12.  The Seller will issue a tax document to the Buyer.

V.              TRANSFER OF OWNERSHIP AND RISK OF DAMAGE

1.     Ownership of the goods passes to the Buyer only upon full payment of the purchase price, including postage and packaging. The moment of payment is understood as the crediting of the full amount to the Seller's bank account.

2.     The risk of damage to the goods passes to the Buyer simultaneously with the ownership or at the moment when the goods are handed over to the carrier, whichever occurs first.

VI.            CONSUMER’S RIGHT TO WITHDRAW FROM THE CONTRACT

1.     Because the Purchase Agreement is concluded remotely, the consumer has the right, in accordance with Section 1829 (1) of the Civil Code, to withdraw from the contract without giving a reason within 14 days of receipt of the goods (in the event that the subject of the Purchase Agreement is several types of goods or the delivery of several parts, this period runs from the day of receipt of the last delivery of goods). Withdrawal from the Purchase Agreement must be sent to the Seller within the period stated in the previous sentence. The Buyer is also entitled to withdraw from the contract if the Seller is in delay with the delivery of the ordered goods and does not fulfill this obligation even within the reasonable additional period provided by the Buyer.

2.     If the consumer intends to withdraw from the Purchase Agreement according to the previous paragraph, they may contact info@greeziis.com and ideally provide the order number, date of purchase, and bank account number for a refund. The Buyer is also entitled to use the template withdrawal form, which is an annex to these terms and conditions. The Seller will immediately confirm receipt of the completed withdrawal form.

3.     After withdrawal from the contract, the consumer is obliged to send or hand over the relevant goods back to us without undue delay, no later than 14 days from the withdrawal from the contract.

4.     In the event that the consumer withdraws from the contract according to the previous paragraphs, the Seller will return the funds received from the consumer (except for the amount representing additional costs of delivery of goods incurred as a result of the consumer's chosen method of delivery of goods, which is other than the cheapest standard delivery method offered by the Seller) within 14 days of the consumer's withdrawal from the Purchase Agreement, in the same manner as they were received from the consumer, unless the consumer specifies otherwise. The Seller is also entitled to return the performance provided by the consumer upon return of the goods by the consumer or in another way if the consumer agrees and no additional costs are incurred by the consumer.

5.     The costs of postage associated with returning the goods are paid and borne by the consumer.

6.     If the consumer withdraws from the Purchase Agreement, the Seller is not obliged to return the received funds to the consumer before the consumer returns the goods or proves that they have sent the goods back. If it is no longer possible for the consumer to return everything they obtained under the Purchase Agreement, a monetary compensation as a counter-value for what can no longer be surrendered will be set off against the purchase price. If the returned goods are partially damaged or excessively worn, a claim for damages will be set off against the purchase price, and the Seller will thus return a reduced purchase price in accordance with the provision of Section 1833 of the Civil Code.

7.     If a gift was provided to the consumer as part of the order, the withdrawal from the contract also applies to this gift, and the Buyer is obliged to return it after withdrawing from the contract together
with the order.

VII.           EXCEPTION TO THE CONSUMER'S RIGHT TO WITHDRAW FROM THE CONTRACT

The Seller expressly draws the consumer's attention to the provision of Section 1837 (1) (g), according to which it is not possible to withdraw from the contract within the 14-day period from the day of receipt of the goods in the case of goods in sealed packaging which, for health or hygienic reasons, are not suitable for return after the consumer has broken the seal. This statutory exception may apply to some goods in the Seller's catalog.

VIII.         RIGHTS FROM DEFECTIVE PERFORMANCE, COMPLAINTS

1.     If the purchased goods have a defect, the Buyer may request its removal within a period of two years from its receipt. At their discretion, they may request the delivery of new goods without a defect or repair of the goods, unless the chosen method of removing the defect is impossible or disproportionately expensive compared to the other; this shall be assessed in particular with regard to the significance of the defect, the value the item would have had without the defect, and whether the defect can be removed by the other method without significant difficulties for the Buyer. If a minimum shelf life, expiration date, or other form of information of similar significance is indicated on the sold item, its packaging, or instructions attached thereto in accordance with special legal regulations, a complaint can be filed in the event of a hidden defect no later than within this period. A complaint can be filed at the e-mail address info@greeziis.com by stating the order number, the Buyer's first and last name, and a description of the alleged defect, together with sending/handing over the given goods to the Seller for assessment. The time limit for processing a complaint begins only when the claimed goods are at the Seller's disposal. Given the nature of the goods, it is not possible to assess defects “remotely,” for example, on the basis of a photograph.

2.     The warranty does not cover wear and tear of the item caused by its usual use. For items sold at a lower price, the warranty does not cover defects for which the lower price was agreed. If a defect manifests within twelve months of receipt, it is assumed that the goods were already defective upon receipt. This does not apply to goods on which a minimum shelf life, expiration date, or other form of information of similar significance is indicated.

3.     The Seller will remove the defect within a reasonable time after it is reported so as not to cause significant difficulties for the Buyer, taking into account the nature of the item and the purpose for which the Buyer purchased the item. The Seller may refuse to remove the defect if it is impossible or disproportionately expensive, especially with regard to the significance of the defect and the value the item would have had without the defect.

4.     The Buyer may request a reasonable discount or withdraw from the contract if the Seller refused to remove the defect or did not remove it in accordance with the above, if the defect manifests repeatedly, if the defect is a substantial breach of contract, or if it is obvious from the Seller's statement or from the circumstances that the defect will not be removed within a reasonable time or without significant difficulties for the Buyer.

5.     The Buyer shall inform the Seller which right they have chosen when filing the complaint or without undue delay after filing it. The Buyer cannot change the chosen option without the Seller's consent; this does not apply if the Buyer requested the repair of a defect which turns out to be irreparable. If the Seller does not remove the defects within a reasonable time or informs the Buyer that they will not remove the defects, the Buyer may request a reasonable discount from the purchase price instead of removing the defect, or may withdraw from the contract.

6.     The Seller will inform the Buyer about the status of the complaint.

7.     The seller shall decide on the complaint immediately, in complex cases within three working days. This period does not include the time reasonably necessary for an expert assessment of the defect, depending on the type of product or service. The seller shall settle the complaint, including the removal of the defect, without undue delay, no later than 30 days from the date the complaint is filed. After this period has elapsed, the consumer has the right to withdraw from the contract or demand a reasonable discount on the price.

8.     In the event of a legitimate complaint, the buyer is entitled to reimbursement of costs reasonably incurred in exercising this right; the buyer must claim these costs no later than one month after the expiry of the period for exercising the complaint. If the buyer does not take over the repaired item within 14 days of the seller's notice to do so
, the seller is entitled to a storage fee of CZK 10 for each day, or part thereof, of the calendar day.

 IX.            PERSONAL DATA PROTECTION

The buyer's personal data must be processed by the seller for the purpose of fulfilling the purchase contract and meeting legal obligations. The processing of personal data is governed by the Personal Data Processing Terms and Conditions.

X.           FINAL PROVISIONS

1.     The buyer may direct their complaint to the email address info@greeziis.com; the complaint will be handled within 30 days of its receipt, and the buyer will be informed of the outcome via their email address.

2.     Costs of means of distance communication do not differ from the standard rate and are borne by the buyer.

3.     The seller is not bound by any codes of conduct in relation to the buyer.

4.     The buyer's order, including the invoice, will be stored in the seller's ordering system, and the buyer is entitled to request both documents or may view them via their user account. The buyer is also entitled to request a copy of the purchase contract (order) or confirmation of the contract's conclusion with the required details.

5.     The seller carries out business activities on the basis of a trade license. Trade licensing control is carried out by the relevant Trade Licensing Office within the scope of its competence. Supervision over the area of personal data protection is exercised by the Office for Personal Data Protection. The Czech Trade Inspection Authority exercises supervision over compliance with Act No. 634/1992 Coll., on Consumer Protection.

6.     If a dispute arises within the business relationship between the seller and the consumer, the Czech Trade Inspection Authority, located at Štěpánská 567/15, 120 00 Prague 2, email: adr@coi.cz, website: adr.coi.cz, is responsible for the out-of-court settlement of consumer disputes. The consumer may also use the online dispute resolution platform established by the European Commission at http://ec.europa.eu/consumers/odr/.

7.     These terms and conditions come into effect on /1.1./ 2024.
